1. Purpose and acceptance
This agreement (the “Agreement”) governs the use of the Home Theater Maestro software (“HTM”, “the Software”), published by WM STUDIOS (“the Publisher”), on all its platforms (Windows, macOS, Linux, Android). By installing or using HTM, you accept this Agreement. The Software is licensed, not sold; the Publisher retains all rights not expressly granted to you.
2. Definitions
- Standard level: all features available free of charge.
- Pro level: the advanced features unlocked by a valid Pro Licence.
- Pro Licence: a right to use the Pro features, embodied in a signed licence code, verified offline by the Software (no server, no account).
3. Standard licence (free)
The Publisher grants you a free, worldwide, non-exclusive licence of indefinite duration to install and use the Standard level of HTM on your devices, for personal or professional purposes.
4. Pro licence (paid)
Purchasing a Pro Licence (see the Terms of Sale) grants you a personal, non-exclusive, perpetual licence (one-time payment, no subscription) to use the Pro features:
- Personal use: the licence is personal, intended for your own devices, for personal or professional purposes.
- Number of devices: you may activate the Pro level on the number of devices attached to your licence. For a Pro Licence purchased through this site, that number is two devices at a time. Reactivating or reinstalling a device already known does not use up a slot, and you may release a device at any time from within the app in order to activate another one.
- Activation: an Internet connection is required for the first activation. The Software then works offline for a window that renews itself on each successful check, with no action on your part.
- Non-transferable / not resalable: you may not resell, share or redistribute your licence code, which is deemed personal.
- Perpetuity: the licence remains valid for the versions covered by the conditions in force on the day of purchase (updates within the 1.x branch included).
5. Usage restrictions
You undertake not to, and not to allow any third party to: circumvent, disable or tamper with the licensing mechanism; share, publish, resell or distribute a licence code; redistribute the modified Software passing it off as an official version; use the “Home Theater Maestro” or “WM STUDIOS” trade marks without authorisation. The right of decompilation for interoperability purposes (article L122-6-1 of the French Intellectual Property Code) is not restricted by this article.
6. Intellectual property
The Software, its code, data, interface and documentation are the property of WM STUDIOS or its licensors. The public audio formats mentioned (Dolby Atmos, DTS:X, Auro-3D, etc.) and the third-party tools referred to (REW, ColorHCFR, etc.) belong to their respective owners; mentioning them implies no partnership.
7. Personal data and privacy
HTM is offline by design: it collects, transmits and tracks no data. Your projects and measurements remain stored locally on your device. See the Privacy policy. No processing of personal data is carried out by the Publisher as a result of your use of the Software.
8. No warranty (“as is”)
To the extent permitted by law, the Software is provided “as is” and “as available”, without warranty of fitness for a particular purpose, in particular as regards the accuracy of the acoustic, video or placement predictions, which are decision aids and not certified measurements.
Consumer sales: this “as is” clause does not deprive the purchaser of a Pro Licence of the mandatory statutory guarantees applicable to that purchase (guarantee of conformity, guarantee against hidden defects; see the Terms of Sale). Those statutory guarantees cannot be excluded.
9. Limitation of liability
To the extent permitted by law, the Publisher shall not be liable for indirect damages (loss of business or data, equipment or building costs incurred in reliance on a prediction). Nothing in this Agreement limits the Publisher’s liability in the event of fraud, gross negligence, personal injury, or in any other case where the law prohibits it.
10. Term and termination
The Agreement applies for as long as you use the Software. It terminates automatically if you breach a material provision of it (in particular article 5), without prejudice to the rights acquired under a lawfully acquired Pro Licence.
11. Governing law and disputes
This Agreement is governed by French law. For any dispute with a consumer, the protective rules of the French Consumer Code apply; any complaint is addressed amicably, directly with the Publisher (see the Terms of Sale).
12. Language
This Agreement is written in French. Any translation into another language is provided for information only. In the event of any discrepancy in interpretation between the French version and a translation, the French version prevails and constitutes the only contractual text.
